Hello John,
I've often been in the same situation, usually the line is
"what's going to happen if you get run over by a bus?"
One way to deal with this is with a "code buddy". There's a bunch of others on the DUG List who would no doubt be interested in a 2 way deal, to provide a backup.
There's a bit of work both ways, but it means you both benefit from having another experienced developer able to provide "off site" backups, and experience to pick up the reins should any of the nasty scenarios pan out.
Much better than escrow as the deal comes with expertise, not a CD / DVD with code and no experience to deal with it.
An opportunity to implement some mutual peer review processes, whilst still running your own business.
