Take a look at escrow http://en.wikipedia.org/wiki/Source_code_escrow

This basically allows you to keep your source code, but also allows the
company to have safeguard in case you abandon the development for any
reason you care to list, Death, Bankruptcy, Ex-Wife (oh, same thing).

How this works is that you enter into a legal "escrow" agreement where you
continually update the source code to a third party. www.escrow.co.nz is
one of them.

This means that you keep ownership of the code and your customer doesn't
see it, unless one of the listed events happens that makes you unable to
continue supporting it. If that happens, then the source code is released
to the other party and they will be allowed to hire another developer to
look after it.

Depending on your escrow contract, you (or your beneficiaries) will still
own the code, but the company has a right to use it to allow them to
continue in business.
